These Terms of Service ("Terms") govern your access to and use of the AlphaFabriQ platform, website, and related services (collectively, the "Service") provided by AlphaFabriQ Inc. ("AlphaFabriQ", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, requesting early access, or otherwise accessing the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

AlphaFabriQ provides a unified investment research platform that includes quantitative data pipelines, factor analytics, portfolio construction and optimization tools, backtesting and stress-testing capabilities, and AI-assisted research workflows. The Service is designed for use by institutional investment professionals, portfolio managers, and research teams.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Eligibility and Account Registration

The Service is intended for institutional investors, professional portfolio managers, quantitative analysts, and financial research professionals. By using the Service, you represent that:

• You are at least 18 years of age
• You have the legal authority to enter into these Terms
• You are using the Service for professional or institutional purposes, not as a retail investor
• Your use of the Service complies with all applicable laws and regulations in your jurisdiction

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access or use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to any portion of the Service or its underlying systems
• Reverse engineer, decompile, or disassemble any part of the Service or its AI models
• Scrape, crawl, or systematically extract data from the platform without prior written consent
• Use the Service to engage in market manipulation, insider trading, or any other unlawful financial activity
• Share your account credentials with third parties or permit unauthorized access to the Service
• Introduce viruses, malware, or other malicious code into the Service
• Use the Service to compete with or replicate AlphaFabriQ's core product offerings

5. Important Financial Disclaimer

AlphaFabriQ provides quantitative research tools, analytics, and AI-assisted insights for informational and research purposes only. The platform does not provide investment advice, and nothing generated by the platform — including factor signals, AI narratives, portfolio analytics, backtest results, or performance projections — should be construed as a recommendation to buy, sell, or hold any security or financial instrument.

Past performance and backtested results are not indicative of future results. Quantitative models and AI systems may have limitations, errors, or biases that are not immediately apparent. All investment decisions carry risk, including the risk of total loss of capital.

You are solely responsible for evaluating the appropriateness of any investment strategy and for all investment decisions made using or informed by the Service.

6. Data and Content

Your Data: You retain ownership of all portfolio data, research inputs, and other content you submit to the platform ("User Data"). By submitting User Data, you grant AlphaFabriQ a limited license to process and store that data solely to provide the Service to you.

Market Data: Certain data available through the platform is licensed from third-party providers. Your use of such data is subject to the terms of those providers. AlphaFabriQ does not warrant the accuracy, completeness, or timeliness of any market data.

AI Outputs: Outputs generated by AlphaFabriQ's AI systems, including narratives, signals, and analytical summaries, are provided for research purposes. You may use such outputs in your own research workflows subject to these Terms.

7. Intellectual Property

The Service, including its software, design, platform architecture, AI models, algorithms, factor frameworks, and all associated intellectual property, is owned by AlphaFabriQ and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer or attempt to extract source code, unless permitted by applicable law or by prior written agreement with AlphaFabriQ.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in that policy.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. AlphaFabriQ expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable law, AlphaFabriQ and its directors, employees, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, loss of goodwill, investment losses, or business interruption — arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

In no event shall AlphaFabriQ's total liability to you for all claims arising from your use of the Service exceed the greater of (a) the amount you paid to AlphaFabriQ in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless AlphaFabriQ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.

12. Term and Termination

These Terms are effective from the date you first access the Service and remain in effect until terminated. We reserve the right to suspend or terminate your access to the Service at any time, for any reason, including breach of these Terms, without prior notice and without liability.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, indemnification, and limitation of liability — will survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to These Terms

We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email or through the platform and update the effective date at the top of this page. Your continued use of the Service following notification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Service.
